INTRODUCTION |
|
The much awaited Companies Act, 2013, ("Act") which is set to replace the existing Companies Act, 1956, was passed by the upper house of the Parliament on August 8, 2013 and received the Presidential assent on August 29, 2013. Further in exercise of the powers conferred under the Act, the Central Government of India has notified 98 sections of the Act, which have come into effect from September 12, 2013. In an effort to keep the process rolling, the Ministry of Corporate Affairs has also released the first set of draft rules pertaining to 16 chapters of the Act. These draft rules are currently placed on an e-platform for receiving suggestions and comments from stakeholders. |

The Act proposes substantial changes to the existing companies law in India. We will be analysing the impact of the new law on various stakeholders involved in M&A and private equity investments in India and discuss the changes in the law relating to M&A, shareholders rights, duties of directors and corporate social responsibility.
